Customer API Terms of Use

These Terms govern authorized access to and use of the SmartQ Customer API. They supplement the applicable SmartQ order, subscription, services agreement, or other written customer agreement.

1. Acceptance and governing agreement

By requesting, receiving, accessing, or using Customer API credentials or output, the customer and each authorized developer or user acting for it agree to these Terms. The person accepting or using the Customer API represents that they have authority to bind the customer.

These Terms supplement the customer's applicable written agreement with VICTEC Group, LLC for SmartQ services. If there is a direct conflict, the signed customer agreement or order controls to the extent of that conflict. Product scope, fees, term, governing law, venue, liability allocation, and any negotiated terms remain governed by that agreement.

2. Eligibility, subscription, and authorized scopes

Access is available only to an authorized SmartQ customer whose applicable subscription and account are active and whose Customer API application has been approved for the requested group, locations, modules, scopes, and rate limit. Access does not extend beyond those controls.

VICTEC may require technical, security, identity, or use-case information before issuing or continuing access. Credentials remain VICTEC-controlled access mechanisms and may be revoked, replaced, limited, or allowed to expire under the customer agreement and these Terms.

3. Authorized use and license

Subject to the customer agreement, paid or approved subscription, authorized scopes, and these Terms, VICTEC grants the customer a limited, non-exclusive, non-transferable, revocable right during the authorized term to call the Customer API and use customer-facing output returned through that access.

The customer may retrieve and display authorized output within its owned or controlled:

  • public websites;
  • mobile applications and other guest-facing digital experiences;
  • in-venue systems and displays; and
  • internal business applications.

This permission includes customer-facing text, status, schedules, availability, and images or logos that the authorized response provides for customer use, subject to any endpoint-specific notice, applicable law, the customer's own rights and obligations, and the applicable customer agreement. No separate text-only restriction applies unless VICTEC expressly identifies one for a particular resource.

4. Credential and application security

Customer API bearers are server-side credentials. Do not embed them in browser JavaScript, downloadable mobile application code, public repositories, client-visible configuration, signage software, analytics events, public links, screenshots, or support messages.

The customer must use reasonable administrative, technical, and organizational safeguards; restrict credential access to authorized personnel and services; use encrypted transport; keep dependencies and systems reasonably secure; and promptly notify support@smartq.tv of suspected loss, disclosure, or unauthorized use.

The customer is responsible for activity performed with its credentials until VICTEC is notified and the affected credential is revoked or replaced. VICTEC may require rotation or revoke a credential to protect the customer, SmartQ, other customers, or the service.

5. Rate limits, caching, and retention

The customer must honor the rate limit, pagination, date, location, module, and scope rules returned or documented for its access. It may not evade limits through additional credentials, distributed callers, retries, account sharing, request splitting, or other circumvention.

Caching and retention must remain consistent with the endpoint documentation, response metadata, customer agreement, applicable law, and any resource-specific restrictions communicated by VICTEC. The customer must refresh, correct, or delete cached output when required and must not use caching to create an unauthorized historical or competing data feed.

6. Prohibited conduct

The customer may not, and may not enable another person to:

  • access a group, location, module, resource, action, or account outside its authorization;
  • scrape, probe, enumerate, test, or extract SmartQ resources except through documented, authorized Customer API requests;
  • bypass authentication, ownership, rate-limit, entitlement, security, or technical controls;
  • interfere with, overload, damage, reverse engineer, or attempt unauthorized access to SmartQ systems;
  • resell, sublicense, expose, or redistribute raw Customer API access or a substantially equivalent bulk data feed as a competing service;
  • share credentials between unrelated customers or applications without written approval;
  • use output unlawfully, deceptively, or in a way that violates another person's rights; or
  • remove required notices or falsely imply endorsement, ownership, completeness, or real-time accuracy.

7. Intellectual property and attribution

VICTEC and its licensors retain all right, title, and interest in SmartQ, the Customer API, documentation, software, service design, and related intellectual property. The customer retains its rights in customer-provided content and applications. These Terms grant only the limited access and output-use rights stated above.

Attribution is required only when VICTEC expressly identifies a requirement in the applicable customer agreement, endpoint documentation, or response. The customer may not use VICTEC or SmartQ names, marks, or branding beyond authorized identification of the integration or as separately approved.

8. Availability, maintenance, changes, and deprecation

Customer API availability, refresh cadence, latency, completeness, and coverage may vary by resource, location, subscription, maintenance, third-party condition, and service state. Unless the customer agreement states otherwise, the Customer API is not guaranteed to be uninterrupted, error-free, or real time.

VICTEC may add, improve, version, deprecate, replace, or remove features and may perform maintenance. When reasonably practicable, VICTEC will use versioning, documentation, migration guidance, or advance notice appropriate to a material breaking change. Security, legal, abuse-prevention, or emergency changes may occur without advance notice.

9. Suspension, revocation, and termination

VICTEC may suspend, limit, or revoke access for expiration, nonpayment, termination, security risk, suspected compromise, abuse, scope or rate-limit circumvention, legal requirement, material breach, or protection of SmartQ and its customers. When appropriate, VICTEC may provide notice and a reasonable opportunity to cure.

When access ends, the customer must stop calling the Customer API, disable the credential, and delete protected output when required by the customer agreement, endpoint-specific retention rules, or law. Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, limitations, and accrued obligations—survive termination.

10. Confidentiality, privacy, and customer responsibility

Credentials, nonpublic documentation, security information, and other information identified or reasonably understood as confidential must be protected under the applicable customer agreement and may be used only to operate the authorized integration.

The customer is responsible for its application, users, notices, privacy policy, security, accessibility, content, regulatory compliance, consumer disclosures, and decisions based on Customer API output. The customer must process personal information lawfully and use only the minimum information reasonably necessary for the authorized purpose.

11. Disclaimers and limitation of liability

EXCEPT AS EXPRESSLY PROVIDED IN THE APPLICABLE CUSTOMER AGREEMENT, THE CUSTOMER API, DOCUMENTATION, AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VICTEC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OUTPUT, OR COMPLETENESS.

Liability is governed first by the applicable customer agreement. If no written customer agreement provides a limitation, then, to the fullest extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages or lost profits, revenue, goodwill, or data, and VICTEC's aggregate liability arising from these Terms will not exceed the fees paid to VICTEC for the affected Customer API access during the twelve months before the event giving rise to the claim.

Any indemnification obligation exists only if and to the extent expressly stated in the applicable customer agreement or another written agreement signed by the parties. These Terms do not create a new blanket indemnification obligation for VICTEC or the customer and do not make representations about rights beyond the authorized Customer API contract.

12. General terms and contact

The applicable customer agreement controls governing law, venue, dispute procedures, notices, assignment, force majeure, severability, waiver, and the entire-agreement framework. If a provision of these Terms is unenforceable, it will be limited to the minimum extent necessary without affecting the remaining provisions.

VICTEC may update these Terms by posting a revised version and effective date. Material changes will be handled consistently with the customer agreement and applicable law. Continued use after an update becomes effective constitutes acceptance when permitted by the governing agreement and law.
